Genesis Dynamics Terms of Service

1) Not Medical Advice; Clinical Care

The Services are provided for informational, administrative, and reservation purposes only. Genesis does not provide medical advice, diagnosis, or treatment.

You are responsible for consulting qualified healthcare professionals regarding:

• whether any prosthetic device is appropriate for you,
• prescription requirements,
• fitting, follow-up care, and clinical decision-making.

Nothing on the Services creates a provider–patient relationship.

2) Medical Device Status; No Misrepresentation

Genesis products are medical devices regulated under U.S. law. Any shipment, commercialization, or distribution is contingent on Genesis determining that applicable regulatory and compliance requirements are satisfied.

You agree not to represent (publicly or privately) that you have received, purchased, or been delivered a Genesis device merely because you placed a reservation.

3) Reservations and Payments

If you submit a "Genesis Production Reservation" payment, that payment is governed by the Reservation Policy.

Key points (summarized; the Reservation Policy controls):

• The reservation secures queue placement; it is not shipment or a completed sale.
• Refundability is defined by the 90-day refund window and related exceptions.
• Remaining balances (if applicable) are charged when your device is ready for shipment.
• Genesis may refuse, cancel, or pause reservations or onboarding where fraud, misuse, policy violation, or safety/clinical concerns are suspected.

4) Eligibility, Intake, and Cooperation

Proceeding from reservation to manufacturing/shipment may require that you:

• complete intake and onboarding steps,
• provide accurate information,
• coordinate with clinicians where required,
• comply with program requirements and safety constraints.

You agree that any information you provide must be accurate and complete. Genesis may decline to proceed if information is incomplete, inconsistent, or suggests the device may be unsafe or inappropriate.

5) No Guarantees; Estimates Only

Any timelines, production windows, or availability statements are estimates only and are not guarantees.

Genesis does not guarantee:

• shipment date,
• regulatory outcomes,
• clinical eligibility,
• performance outcomes, or
• uninterrupted availability of the Services.

6) Acceptable Use

You agree not to:

• interfere with or disrupt the Services,
• attempt unauthorized access to systems or data,
• scrape, reverse engineer, or misuse the Services,
• submit false information or impersonate another person,
• use the Services for unlawful, deceptive, or harmful purposes.

Genesis may suspend or terminate access for violations.

7) Intellectual Property

All content, designs, trademarks, software, documentation, and materials made available through the Services are owned by Genesis or its licensors and are protected by intellectual property laws.

Except as expressly permitted in writing, you may not copy, modify, distribute, sell, lease, or create derivative works from the Services or Genesis materials.

8) Warranty and Product Terms (At Shipment)

If and when a device ships, it will be subject to additional terms, which may include:

• purchase terms,
• warranty terms,
• safety and use instructions,
• return and service policies.

Those terms will be provided prior to shipment and may require separate acceptance.

9) Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." GENESIS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Genesis does not warrant that the Services will be uninterrupted, error-free, secure, or free of harmful components.

10) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

GENESIS' TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES, A RESERVATION, OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO GENESIS IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

FOR ANY CLAIM PRIOR TO SHIPMENT, LIABILITY IS FURTHER LIMITED AS SET FORTH IN THE RESERVATION POLICY.

IN NO EVENT WILL GENESIS BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, LOST WAGES, LOSS OF OPPORTUNITY, OR EMOTIONAL DISTRESS), EVEN IF ADVISED OF THE POSSIBILITY.

Some jurisdictions do not allow certain limitations; in those jurisdictions, liability will be limited to the maximum extent permitted.

11) Indemnification

You agree to indemnify, defend, and hold harmless Genesis and its directors, officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

• your misuse of the Services,
• your violation of these Terms,
• your violation of any law or third-party rights,
• your submission of inaccurate or misleading information.

12) Dispute Resolution; Venue; Injunctive Relief

Venue: Unless otherwise required by law, any dispute arising out of or relating to these Terms, the Services, or any reservation/payment will be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.

Injunctive relief: Genesis may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property, confidential information, or system integrity.

13) Changes to the Services and Terms

Genesis may modify or discontinue the Services at any time.

Genesis may update these Terms. The Terms in effect at the time of your payment apply to that transaction, unless a change is required by law or is more favorable to customers.

Continued use of the Services after an update constitutes acceptance of the updated Terms.

14) Severability; Assignment; Entire Agreement

Severability: If any provision is held unenforceable, the remaining provisions remain in effect.

Assignment: You may not assign these Terms without Genesis' consent. Genesis may assign these Terms as part of a merger, acquisition, or corporate restructuring.

Entire agreement: These Terms and the Reservation Policy constitute the entire agreement regarding the Services and reservation payments.
